Registration of Foreign Representative Office in Ukraine

Foreigners are allowed to be the founders of legal entities. According to the Constitution of Ukraine, they have the same rights as the citizens of Ukraine.

Representative offices of foreign companies do not have legal status, and that’s why they have no need in the formation of the authorized capital. There are all types of benefits for the state registration of the RepOffice: it is possible to receive tax and customs benefits, there is no need in work permit for foreign employees in Ukraine, etc.

The Ministry of Economy of Ukraine is in charge for the state registration of foreign companies in Ukraine.

Here is the list of required documents for registering the foreign representative offices:

  1. Application to the Ministry of Economic Development and Trade for registration of a representative office, prepared on the letterhead in free format. It shall include:
    • name of the foreign entity;
    • country of origin of the foreign entity;
    • business location of the foreign entity;
    • phone and fax numbers;
    • city of intended representative office location (indicating its future address);
    • the list of the cities for future branches location (if planned);
    • the number of foreigners who will work in representative office;
    • the date of establishment of the foreign entity;
    • form of incorporation of the foreign entity;
    • number of employees of the foreign entity;
    • bank details;
    • opening goal and corporate purpose of the RepOffice, information on business relations with Ukrainian partners and prospects of cooperation.
    The application shall be in duplicate, with a corporate seal affixed and signed by its CEO.
    CEO's signature shall be certified by notary (or Apostilled).
  2. Extract from the trade (commercial, court etc.) register (Certified by the registrar or notary of this country) - in duplicate.
  3. A bank certificate confirming that a foreign entity is account holder. This document shall be drafted in free format on the letterhead of the bank. Be sure to indicate the number of accounts. No information about the funds of the company required. The certificate shall be signed by an authorized officer of the bank, and his signature shall be notarized. - in duplicate
  4. Power of attorney to carry out representative functions in Ukraine, in compliance with the laws of the country where the company is registered. A power of attorney is issued in the name of a person who will be the head officer in Ukraine. The power of attorney must be signed by the company's CEO, with a corporate seal affixed and the signature of the head should be notarized. - in duplicate
  5. The decision (protocol) on the establishment of representative office in Ukraine and the appointment of its head.
  6. Passport information and ID number of the RepOffice head.
  7. Lease agreement for the registered office address of the representative office.
  8. Receipt confirming the payment of the state fee for registration of a representative office - USD 2500.

All the documents mentioned above shall be legalized (apostilled) in the country of issue. Documents shall be translated into Ukrainian and notarized.
Documents shall be submitted to the Ministry of Economic Development and Trade of Ukraine not later than 6 months from the date of issuance.

Pay attention: Certificate of registration of the foreign representative office shall be issued within 60 working days since submission of all the documents and receipts confirming the payment of the State fee.

After receiving the certificate of registration of representative offices from the Ministry of Economic Development and Trade of Ukraine, the state registration in the Unified State Register of Enterprises and Organizations of Ukraine, the State Tax Service, the Pension Fund and other social funds shall be carried out, and the business seal shall be ordred.
